Compromiso de contratar: algunos comentarios sobre su actual regulación legislativa

Abstract

The scope of the legislative regulation on the Pre-contract agreement is hereby critically commented, emphasizing that, for its contractual nature because of its mandatory purpose, the formative rules of contracts are thereto applicable, noting that due to the contents of the preliminary agreement and during its validity term which must be mandatorily predetermined, a final binding offer of what has already been fully and preliminarily agreed is formulated, which must be accepted under liability, unless there is a justifying cause. Likewise, this work highlights the legal remedies applicable in case the ordinary risk of non-performance arises, due to unjustified refusal for the timely execution of the final contract.

En el presente artículo se comentan críticamente los alcances de la regulación legislativa sobre el compromiso de contratar, poniendo de relieve que, por su naturaleza contractual en razón de su objeto obligacional, resultan aplicables las reglas formativas de los contratos, destacándose que, en razón del contenido del acuerdo preliminar y durante su vigencia temporal que debe ser necesariamente predeterminada, se formula una oferta de vinculación definitiva de lo ya acordado íntegra y preliminarmente, la misma que debe ser aceptada bajo responsabilidad, salvo causa justificante. Asimismo, se destacan los remedios legales aplicables en caso se materialice el riesgo ordinario de incumplimiento prestacional por negativa injustificada para la celebración oportuna del contrato definitivo.
