Barry Adler, consciente de lo costoso que resulta distinguir entre empresas insolventes viables e inviables, propone permitir que los inversionistas diseñen estructuras de capital inicial y prevean de antemano los efectos que tendrá para su empresa el hecho de caer en insolvencia. Bajo este modelo se permitiría que una empresa establezca su liquidación o reestructuración automática, siguiendo criterios previamente establecidos, en caso de caer eninsolvencia.
