“Memorandum of Understanding”: Aplicación en el ordenamiento peruano y ventajas de su utilización desde una perspectiva económica

Abstract

En el Common Law existe la figura del “Memorandum of Understanding” o “Letter of Intent”, que es un acuerdo que se realiza previamente a la celebración del contrato y que, en base a la intención de las partes, puede o no tener efectos vinculantes. En el Perú ¿existe una figura con efectos similares? De ser así, ¿se generaría algún tipo de responsabilidad ante su incumplimiento? En términos económicos ¿resulta eficiente celebrar estos acuerdos?.

In Common Law there is the “Memorandum of Understanding” or “Letter of Intent”, which is an agreement that is made prior to the conclusion of the contract and according to the intention of the parties, may have effects binding. In Peru, is there a figure with similar effects? If so, would any kind of liability be generated in the event of non-compliance? In economic terms, is it efficient to conclude these agreements?
