Resumen
El objetivo de esta investigación es relacionar las buenas prácticas de gobierno
corporativo y la generación de valor de empresas distribuidoras de energía eléctrica en
América Latina. De esta manera, se podrá identificar aquellas que sugieran mejores
resultados financieros en las empresas seleccionadas. Es importante mencionar que cada país
se analizó por separado, ya que los lineamientos generales de gobierno corporativo fueron
adoptados de manera distinta según la legislación de cada país.
Asimismo, esta tesis corresponde a un estudio cuantitativo, descriptivo y longitudinal
de panel. Además, utiliza como instrumentos de investigación fuentes secundarias, como las
memorias anuales e informes de gobierno corporativo publicados. También, presenta el
análisis de contenido cuantitativo de la información recopilada, con el cual se profundiza
sobre las variables de estudio. Sin embargo, puesto que esta tesis no pretende generalizar los
resultados a todo el sector de estudio, tiene en parte un enfoque cualitativo (Hernández,
Fernández, & Baptista, 2014).
La muestra comprende empresas distribuidoras de energía eléctrica que coticen en la
bolsa de valores, las cuales fueron analizadas tomando en cuenta la coyuntura de sus
respectivos países. Con respecto a la variable gobierno corporativo, se calcularon porcentajes
de cumplimiento por cada uno de los pilares de medición en función al ejercicio de cada país.
En cambio, para la variable valor financiero, se evaluaron indicadores de creación de valor.
Finalmente, los resultados de la investigación no son determinantes y, por ende, no
representan en su totalidad lo encontrado en la literatura. Sin embargo, se encuentran indicios
que sugieren un aparente comportamiento positivo de la confluencia de ambas variables. Una
de las principales recomendaciones radica en la homologación de un sistema único de
medición de buenas prácticas de gobierno corporativo. Definitivamente, es un tema que
merece profundizar y será tarea de próximas iniciativas de investigación
The objective of this research is to relate the good practices of corporate governance and the value creation of the distribution companies of electric power in Latin America. Thus, it will be possible to identify those that suggest better financial performances among the companies selected. It is important to mention that each country was analyzed separately, since the general guidelines of corporate governance were adopted differently according to the domestic legislation in every country. Likewise, this thesis corresponds to a quantitative, descriptive and longitudinal panel study. Furthermore, it uses secondary sources as research instruments, such as the annual reports and corporate governance reports published. Also, it presents the analysis of quantitative informational content gathered, with which there is an extensive further analysis of the study variables. However, since this thesis does not intend to generalize the results to the entire study sector, it has in part a qualitative approach (Hernández, Fernández, & Baptista, 2014). The sample involves distribution companies of electric power listed in the Stock market. They were analyzed taking into account the juncture of their corresponding countries. Regarding the corporate governance variable, performance percentages were calculated according to the measurement cornerstones from the financial year in every country. On the other hand, for the financial value variable, the value creation indicators were evaluated. Finally, the research findings are not determining and, therefore, they do not represent everything found in the literature. However, there are indications that suggest an apparent positive behavior on the convergence of both variables. One of the main recommendations consists in the standardization of a single measurement system for the good practices in corporate governance. Definitely, it is an issue that requires a deeper analysis and it will be a task for future research initiatives
