Resumen
El presente artículo incluye algunas consideraciones jurídicas y prácticas relacionadas con el aporte de cripto activos a sociedades comerciales en Colombia, Chile y Perú. Los cripto activos han hecho su aparición en el comercio mundial y esto requiere revisar su regulación legal. Aunque en Colombia, Chile y Perú aún no existe una regulación de cripto activos, distintas autoridades gubernamentales en estos tres países han puesto sus ojos en los cripto activos, y han emitido pronunciamientos sobre la naturaleza de estos, su volatilidad y los riesgos que implican para quienes invierten en ellos. Sin embargo, no existe regulación que prohíba las transacciones con cripto activos o su uso en el tráfico comercial de nuestros países, incluyendo su aporte al capital social de sociedades comerciales. Sin perjuicio de su viabilidad jurídica, el aporte de cripto activos a sociedades comerciales supone una serie de retos prácticos y riesgos jurídicos que deberán sortear las sociedades que acepten este tipo de aportes de parte de sus socios, así como los administradores y asociados de las mismas.
This article includes certain legal and practical considerations regarding the contribution of crypto assets to Colombian, Chilean and Peruvian companies. Crypto assets are a reality in Latin America. Although Colombia, Chile and Peru have not regulated crypto assets, the trade and use of these digital assets in our countries is a reality.Different governmental authorities in Colombia, Chile and Peru have set their eyes on this technology, have issued opinions regarding the nature of these assets, their volatility and the risks involved for those who invest in them. However, there is no regulation prohibiting transactions with crypto assets or their use in commercial activities in our countries, including the contribution of these assets to companies.Without prejudice to the above, the contribution of crypto assets poses practical and legal challenges that need to be addressed by companies accepting this type of contributions, as well as by their directors and equity holders.
