Apuntes sobre la oponibilidad de los convenios societarios en la regulación peruana

Abstract

En el presente artículo se analizan las problemáticas que surgen a partir de la regulación actual de los convenios societarios en la Ley General de Sociedades vigente. Entre estas, por ejemplo, se tiene la poca claridad de los alcances de dicha oponibilidad y los límites que debe interpretarse que tiene la oponibilidad en ciertos casos.A fin de efectuar dicho análisis, se hace primero un recuento de las principales características de los convenios societarios y de la oponibilidad de estos a las sociedades no cotizadas en la regulación peruana. También se aborda la regulación comparada de la oponibilidad de estos acuerdos en otros ordenamientos importantes como el español, el estadounidense y el brasileño.In this paper the author analyzes the problems of the regulation of shareholders’ agreements in the current General Companies Law. Among these, for example, the lack of clarity of the scope of their opposability and the limits that must be construed the opposability has in certain cases. In order to carry out this analysis, first, it is made a recount of the main characteristics of the shareholders’ agreements and their opposability to non-public companies under the Peruvian law, and it is also addressed a comparative law analysis of the opposability of these agreements in other relevant legal systems such as Spanish, American and Brazilian.
