Disquisiciones jurídicas respecto a los empresarios colectivos no personalizados y su actividad empresarial

Abstract

Within the varied range of problems that plague our country, informality is one of the biggest complications. Precisely, one of the areas in which it operates loosely, is around MYPES (micro and small businesses). In fact, many entrepreneurs (and not only those who consider themselves within the block referred to above) act in the market without having been established as a company, thus we have the Non-Personalized Collective Businessmen. Thus, taking into account the regulations that frame this group, we consider necessary to promote systematic or normative changes that allow the inclusion of this group in the registry system. For this, a first option will be to expand the scope of the Digital Intermediation System of the SUNARP (Public Registries) and a second option will aim to modify the rules regarding the acquisition of legal personality and irregular companies.

Dentro de la variopinta gama de problemas que asolan a nuestro país, la informalidad es uno de lo que mayores complicaciones genera. Justamente, uno de los ámbitos en los que esta se desenvuelve holgadamente, es alrededor de las micro y pequeñas empresas. En efecto, muchos empresarios (y no solo aquellos que se consideran dentro del bloque referido anteriormente) actúan en el mercado sin haberse constituido como una sociedad, así tenemos a los Empresarios Colectivos No Personalizados. Así, tomando en cuenta la normativa que enmarca a este grupo, consideramos propicio que se promuevan cambios sistemáticos o normativos que permitan la inclusión de este grupo en el sistema registral. Para esto, una primera opción será ampliar los alcances del Sistema de Intermediación Digital de la Superintendencia Nacional de los Registros Públicos y una segunda opción apuntará a modificar las normas referentes a la adquisición de personalidad jurídica y las sociedades irregulares.
