Abstract
La Empresa Individual de Responsabilidad Limitada se ha convertido en la única forma de
organización jurídica que permite emprender satisfaciendo a priori el deseo del grupo de
empresarios que no desea asociarse proveyéndoles de personería jurídica y limitación de
responsabilidad; no obstante, el Decreto Ley que la regula fue concebido como una norma para
la pequeña empresa, por lo que su enfoque resulta limitativo para negocios con aspiraciones al
crecimiento económico. Ante la falta de una modificación, el Tribunal Registral, ha venido
resolviendo apelaciones en favor del empresario, pronunciamientos loables que buscan
beneficiarlo al permitirle acceder al Registro siendo, en contraparte, perjudiciales con el
ordenamiento al realizar modificaciones o inaplicar disposiciones legales vigentes. Esta premisa
será la guía del presente trabajo en el cual se pretende analizar el rol del TR frente al Decreto
Ley 21621. En este sentido, se partirá con la presentación de la figura de la EIRL y las
modificaciones introducidas por el órgano, siguiendo con los excesos en los que incurrió la
entidad y sus respectivas consecuencias. Finalmente, se dará cierre analizando dos opciones
de solución: la introducción de la Sociedad Unipersonal o la actualización de la normativa actual.
The Individual Limited Liability Company has become the only form of legal organization that allows entrepreneurship satisfying a priori the desire of the group of entrepreneurs who do not wish to associate by providing them with legal status, as a corporate body, and limitation of liability; however, the Decree that regulates it was conceived as a law for small businesses, so its approach is limited for enterprises with aspirations for economic growth. In the absence of a modification, the Registry Court has been resolving appeals in favor of the entrepreneur, laudable pronouncements that seek benefit him by allowing the access the Registry, being, on the other hand, detrimental to the legal system by making modifications or disapplying current legal provisions. This premise will be the guide of the present work in which it is intended to analyze the role of the Registry Court against Decree Law 21621. In this sense, it will start with the presentation of the figure of the EIRL and the modifications introduced by the institution, following with the excesses incurred by the entity and their respective consequences. Finally, it will close by analyzing two solution options: the introduction of the One Man Company or the updating of the current regulations.
