La escisión societaria en contraposición al ejercicio de la libertad sindical: Análisis bajo la óptica de los derechos fundamentales

Resumen
A través de la escisión societaria, una empresa puede transferir todo un bloque
patrimonial (incluyendo trabajadores) hacia otra empresa. Este fenómeno que tiene
efectos en las relaciones laborales individuales y colectivas, no cuenta con una
legislación laboral que lo regule.
Ante tal, aparente, incertidumbre; muchas afectaciones a la libertad sindical como
producto de las escisiones empresariales han terminado discutiéndose (sin mucho
éxito) en vía judicial. Evidenciándose que la principal tara al momento de abordar el
problema se encuentra que el análisis se realiza a un nivel infraconstitucional,
ignorando por completo, el contenido protegido por la libertad de empresa y la
libertad sindical.
Mediante el presente trabajo, ponemos en evidencia las diferentes restricciones que
sufre la libertad sindical luego de una escisión, así como el deficiente análisis que se
viene haciendo sobre esta problemática. Y finalmente, proponemos un modelo de
análisis para estos casos y una posible solución en general, bajo la óptica de los
derechos fundamentales.
Through the corporate division, a company can transfer an entire block of assets (including workers) to another company. This phenomenon, which has effects on individual and collective labour relations, does not have labour legislation to regulate it. In the face of such, apparent, uncertainty; many effects on freedom of association as a result of the corporate division have ended up being discussed (without much success) in the courts. Evidenced that the main flaw when addressing the problem is that the analysis is carried out at an infra-constitutional level, completely ignoring the content protected by freedom of business and freedom of association. Through this work, we highlight the different restrictions that freedom of association suffers after a corporate division, as well as the deficient analysis that has been done on this problem. And finally, we propose an analysis model for these cases and a possible solution in general, from the perspective of fundamental rights.
