Las normas imperativas en el Derecho de Sociedades Anónimas

Abstract

El presente trabajo da cuenta de algunas razones de la existencia de normas imperativas en el Derecho de Sociedades Anónimas. En particular, se analiza los antecedentes históricos, la función del tipo social y la responsabilidad limitada de los socios. Posteriormente, se analizan algunas disposiciones de la Ley General de Sociedades a fin de dar cuenta del carácter imperativo de algunas de sus normas.

This paper aims to present some reasons to the existence of mandatory rules in the Corporation Law. In particular, the historical background, the function of the enterprise forms and the limited liability of the partners are analyzed. Subsequently, some provisions of the General Companies Law are analyzed in order to account for the mandatory nature of some of its regulations.
