Resumen
El presente informe jurídico busca desarrollar un análisis de lo que se refiere la Ley
General de Sociedades con relación a la causal de disolución en una sociedad, así como
también la formalidad que propone para la transferencia de participaciones en la
Sociedad Comercial de Responsabilidad Limitada. Es preciso mencionar que esta forma
societaria tiene naturaleza mixta y en cuanto a características llega a ser muy similar a la
Sociedad Anónima Cerrada; no obstante, cuenta con formalidades que definitivamente
perjudican su libre tránsito y genera transacciones innecesarias, tales como que la
transferencia de participaciones deba inscribirse en el Registro. Asimismo, la
justificación de dicho informe será que en la actualidad la Ley General de Sociedades
presenta problemas en la forma que regula a la disolución de una sociedad, generando
conflicto entre la forma literal de este concepto y la de pleno derecho, situación que
trataremos de identificar y revertir.
This legal report seeks to develop an analysis of what the General Law of Companies refers to in relation to the cause of dissolution in a company, as well as the formality that it proposes for the transfer of shares in the Limited Liability Commercial Company. It is necessary to mention that this corporate form has a mixed nature and in terms of characteristics it becomes very similar to the Closed Stock Company; however, it has formalities that definitely harm its free transit and generates unnecessary transactions, such as the transfer of shares must be registered in the Registry.
