Resumen
El presente trabajo tiene como objetivo analizar el expediente N° 010-2009/CLC-INDECOPI,
mediante el cual se inició un procedimiento administrativo sancionador a Enel S.P.A. por
realizar un acto de concentración antes de que la Comisión de Libre Competencia del
INDECOPI emitiera una resolución final sobre la misma.
La operación de concentración realizada por Enel S.P.A. fue adquirir el 100% de las acciones
que Acciona S.A. poseía sobre Endesa S.A. obteniendo con esto el control exclusivo de esta
última empresa. Así, se analizará la normativa aplicable al momento de ocurridos los hechos
y los conceptos relevantes tratados en el caso. Dentro de estos conceptos están el acto de
concentración, control, el procedimiento administrativo sancionador, el principio de tipicidad
y principio de razonabilidad, y la teoría de los efectos. A partir de ello se podrá concluir que
la Comisión, aplicando la teoría de los efectos, si tiene facultades para pronunciarse sobre
este acto de concentración; que durante el procedimiento administrativo sancionador no se
respetaron algunas características de este procedimiento y, finalmente, que la resolución de
segunda instancia vulnera el principio de razonabilidad.
The purpose of this paper is to analyze Resolution No. 010-2009/CLC-INDECOPI, through which an administrative sanctioning procedure was initiated against Enel S.P.A. for carrying out an act of concentration before the Free Competition Commission of INDECOPI issued a final resolution on the concentration. The concentration operation carried out by Enel S.P.A. was to acquire 100% of the shares that Acciona S.A. owned in Endesa, thus obtaining the exclusive control of the company. Thus, the regulations applicable at the time of the occurrence of the facts and the relevant concepts dealt with in the case will be analyzed. Among these concepts are the act of concentration, control, the administrative sanctioning procedure, the principle of typicality, principle of reasonableness, and the theory of effects. From this it can be concluded that the Commission, based on the theory of effects, does have the authority to pronounce on this act of concentration; that during the administrative sanctioning procedure some characteristics of this procedure were not respected and, finally, that the second instance resolution violates the principle of reasonableness.
