Abstract
Nuestro trabajo de investigación presenta presenta una mirada innovadora y multidisciplinaria
que conjuga el mundo jurídico con el mundo de la empresa, bajo una perspectiva, jurídica,
económica, de gestión y estratégica.
Para su desarrollo hemos construido la estructura de la empresa fiduciaria como organización
económica y desarrollado las fases del proceso de constitución a nivel jurídico y a nivel de gestión,
teniendo como base la LGS, la Ley de Banca y reglamentos de la SBS.
Como ventaja competitiva de nuestra investigación hemos diseñado una serie de diagramas y
cuadros que nos permiten visualizar, describir y justificar la problemática de nuestra investigación
que son las barreras legales de entrada que genera el marco normativo del fideicomiso para el
acceso de las pequeñas y medianas empresas al mercado fiduciario.
Para demostrar la existencia de estas barreras, nos apoyamos de conceptos económicos como
economía social de mercado, estructura de mercado, libre iniciativa privada, libertad de empresa,
libertad de competencia, costo beneficio, incentivos, costo de oportunidad y del análisis de
razonabilidad y proporcionalidad aplicado por INDECOPI para determinar la existencia de
barreras legales en el mercado.
Finalmente llegamos a estructurar un modelo de negocio que simplificamos a través de una
fórmula que consideramos se puede replicar a menor escala en todo tipo de empresas y como
propuesta de valor planeamos la creación de sociedades anónimas cerradas fiduciarias, SACF, y
un mercado alternativo fiduciario, MAVF, teniendo como base los regímenes especiales y las
modalidades societarias de la LGS y la flexibilización del MV para el acceso de las pequeñas y
medianas empresas al MAVF.
Our research work presents an innovative and multidisciplinary view that combines the legal world with the business world, from a legal, economic, management and strategic perspective.
