Resumen
La Ley 31112, Ley sobre el control previo de las operaciones de concentración,
entró en vigencia el 14 de junio del 2021. Habiendo pasado aproximadamente
un año de ello, a través de este artículo se busca advertir que problemas se
han hecho notorios luego de la entrada en vigencia de la norma. Así se han
identificado dos en particular: falta de especificación y procedimiento en la
consulta previa, cuestionamientos sobre si el control previo es correcto o no.
Ante dicha situación se arriba a que, el procedimiento de consulta previa puede
ser más detallado en base a como ha venido trabajando la Secretaría de la
Técnica, en los aspectos de cómo se debe presentar la consulta, el plazo y la
confidencialidad. Por otro lado, sobre la discusión del control previo, se
concluye que este si es necesario dentro de nuestra legislación a partir de
adoptar las recomendaciones establecidas tanto por la OCDE, Organización
para la Cooperación y el Desarrollo Económico y la INC, International
Competition Network.
Law 31112, Law on Prior Control of Concentration Operations, entered into force on June 14, 2021. Approximately one year after its entry into force, this article seeks to point out what problems have become evident after the entry into force of the law. In view of this situation, the prior consultation procedure could be more detailed based on how the Technical Secretariat has been working on the aspects of how the consultation should be presented, the timeframe and confidentiality. On the other hand, regarding the discussion of prior control, it is concluded that it is necessary within our legislation, based on the adoption of the recommendations established by the OECD, Organization for Economic Cooperation and Development, and the INC, International Competition Network.
