Resumen
El presente informe tiene como objetivo realizar un análisis jurídico registral y societario
–bajo la legislación actual– de la Resolución N° 1928-2011-SUNARP-TR-L, en que el
Tribunal Registral resolvió ordenar la inscripción de la extinción de una sucursal de sociedad
constituida en el extranjero, cuya sociedad matriz se había extinguido previamente. Esto
generó una situación que no se encontraba amparada bajo la normativa societaria y registral
aplicable. En tal sentido, el Tribunal Registral argumentó la existencia de una imposibilidad
jurídica por parte de la sucursal para el cumplimiento de los requisitos establecidos en el
artículo 402 de la Ley General de Sociedades, lo cual generaba un vacío del derecho que
debería resolverse aplicando los principios generales del derecho, mediante la integración
jurídica.
La resolución materia de análisis adquiere relevancia en tanto representa una realidad
innegable para nuestro ordenamiento jurídico, en que nuevas situaciones empresariales
superan la realidad o los supuestos regulados por la normativa vigente, debido al avance de la
dinámica comercial. Al respecto, concluimos que la decisión del Tribunal Registral fue la
acertada, pero que careció de un desarrollo jurídico suficiente que pueda dar a conocer su
razonamiento y de esta manera evitar argumentos que puedan dar a entender una
extralimitación del tribunal en su decisión. Por último, recibe importancia, puesto que
abarcaremos diferentes aspectos del Derecho tales como el derecho societario, registral,
mercantil y la teoría general del derecho para resolver la presente situación.
This report aims to provide a legal analysis based on Registry and Corporate Law –under the current legislation of Resolution 1928-2011-SUNARP-TR-L, in which the Registry Tribunal ordained the extinction inscription of a branch of a company incorporated abroad, whose parent company had been previously extinguished. This created a situation that was not regulated by the applicable Corporate and Registry Laws. Thus, the Registry Tribunal argued the legal impossibility for the branch to fulfill the requirements stated by article 402 of the General Law of Corporations, which created a legal void to be solved in application of the General Principles of Law by the legal integration method. The relevance of this resolution relies on the fact that it reflects an undeniable reality of our legal system, in which novel corporate situations are ahead of the regulations in force, due to the advances of commercial dynamics. We conclude that although the decision taken by the Registry Tribunal was correct, it lacked a sufficient legal development that could allow an understanding of their reasoning and thus avoid arguments that could imply an excess of the tribunal in its decision. Finally, it is important since we will cover different areas of Law such as Corporate, Registry, Commercial law, and the General Theory of Law to give light to this situation.
