Resumen
Se ha aprobado en el Perú un paquete normativo compuesto por el Decreto
Legislativo 1427 y sus normas conexas, cuyo propósito es principalmente de
transparencia fiscal y prevención del lavado de activos, pero cuyos efectos y
ámbito de aplicación son casi enteramente registrales, pues ordena la inscripción
de la extinción de personas jurídicas que muestran un largo periodo de
inactividad, en aplicación de una presunción iuris tantum.
Mediante el presente informe se analiza la Resolución No. 2304-2023-SUNARPTR, en la que el Tribunal Registral se pronuncia a favor de la posibilidad de
revertir en sede registral una extinción que se inscribió en virtud del cumplimiento
de los supuestos de hecho planteados en el Decreto Legislativo 1427 y sus
normas conexas. Se sostiene en este texto que, a partir de jurisprudencia como
esta, lo que se regula en las normas citadas no es propiamente una extinción,
sino una disolución, más allá del nomen. Asimismo, se explicará el carácter
asistemático de esta regulación y se alcanzarán pautas para su correcto
entendimiento y posicionamiento en el ordenamiento jurídico.
El presente informe considera tanto las instituciones jurídicas involucradas como
la realidad práctica de la aplicación de esta norma en los Registros Públicos, a
partir de entrevista directa con operadores involucrados.
A regulatory package has been approved in Peru consisting of Legislative Decree 1427 and its related regulations, the purpose of which is mainly fiscal transparency and prevention of money laundering. Notwithstanding, their effects and scope of application are almost entirely registry-related, since it orders the registration of the extinction of legal entities that show a long period of inactivity, in application of a rebuttable presumption. This paper analyzes Resolution No. 2304-2023-SUNARP-TR, in which the Court of the Public Registries pronounces itself in favor of the possibility of reverting in the registry an extinction that was registered by virtue of the fulfillment of the factual assumptions set forth in Legislative Decree 1427 and its related rules. It is argued in this present text that, based on jurisprudence such as this one, what is regulated in the aforementioned norms is not properly an extinction, but a dissolution, beyond the nomen. Likewise, the non-systematic nature of this regulation will be explained, and guidelines will be offered for its correct understanding and positioning in the legal system. This paper considers both the legal institutions involved and the practical reality of the application of this regulation in the Public Registries, based on direct interviews with the operators involved.
